Villkor & Villkor

Villkor & Conditions – Website Design

We’ll always do our best to fulfil your needs and meet your expectations, but it’s important to have things written down so that we both know what’s expected, who is responsible for what, and what happens if circumstances change.

These terms are intended for business clients purchasing our services for business purposes.

You (“You” or “the Client”) are hiring EurMarketing Ltd, trading as EurAgency (“We”, “Us” or “EurAgency”), to design and develop a website as described in the agreed proposal, quotation or invoice.

What do both parties agree to?

You

You confirm that you have the authority to enter into this agreement on behalf of yourself, your company or your organisation.

You’ll provide the information, property data, varumärke, images, innehåll, account details and other materials we need to complete the project.

You’ll provide feedback and approvals within a reasonable timeframe so that the project can progress.

You’re responsible for ensuring that any materials you provide to us may legally be used on your website.

You also agree to make payments according to the agreed payment schedule.

Us

We’ll carry out the agreed work professionally and within a reasonable timeframe.

We’ll keep confidential information you provide to us confidential and only use it as necessary to provide the agreed services.

We’ll keep you informed during development and provide access to a staging or development version of the website so that you can review the work and request revisions.

Design and development

Our websites are built using WordPress and may incorporate themes, plugins, open-source software and EurAgency-developed functionality.

Unless otherwise agreed, the project includes the pages, functionality, property features, integrations and other elements described in our proposal, quotation, correspondence or invoice.

Features or functionality requested after work has begun that materially change the agreed scope may be treated as additional work and quoted separately.

Revisions and approval

We want you to be happy with your website and you’ll have opportunities throughout development to review the design and request changes.

Revisions to the agreed design and scope can be made during development before final approval.

Requests for substantial new functionality, a significant redesign after an existing design has been approved, or work outside the original project scope may require a separate quotation.

Once you confirm that the website is approved for launch, the design stage will be considered complete.

Text, images and other content

Unless specifically included in our proposal, you’re responsible for providing your website text, photographs, logos and other content.

Where appropriate, we may use temporary placeholder content or appropriately licensed stock imagery while the site is being developed.

If we provide copywriting, editing, photography, custom graphics or other content creation as an additional service, this will be agreed separately.

Client-supplied materials

You confirm that any text, images, photographs, logos, property information, feeds, videos or other materials you provide are either owned by you or that you have permission to use them.

You agree that we will not be responsible for claims arising from materials supplied by you where you did not have the necessary rights or permissions to use them.

Property data and XML feeds

Your website can be configured to generate property feeds for external property platforms.

We’ll configure those feeds to the required format for the selected portals or services.

You are responsible for ensuring that the property information entered into your website is accurate and that you have the right to publish and distribute it.

Where a portal or external service changes its feed specification or technical requirements, we can update the website feed configuration where necessary.

If your website is also required to import property data from an external CRM, XML feed, API or other source, this will be configured separately where agreed as part of the project.

We are not responsible for the accuracy or availability of property data supplied by an external system or provider.

Domains and DNS

You remain the owner of your domain name at all times and are responsible for keeping the domain registered and renewed.

To connect your domain to the website, you can either make the DNS changes we provide to you, or give us the access or authority required to make those changes on your behalf.

Where we make DNS changes on your behalf, we’ll only make the changes required to configure and operate the website and related services.

We are not responsible for delays caused by domain registrars, DNS providers or changes made by third parties outside our control.

Browser testing

We test websites using current versions of major modern browsers. We do not guarantee compatibility with obsolete or unsupported browser versions.

Mobile testing

We test responsive layouts across representative modern mobile and tablet screen sizes and using current mobile browsers.

Because of the number of different devices, operating systems and screen combinations available, it isn’t practical to test every possible device individually.

Search engine optimisation

The websites we build include an SEO-focused structure and initial on-page and technical SEO configuration appropriate to the project.

Search engine rankings are controlled by third-party search engines and are affected by many factors outside our control. We therefore cannot guarantee particular rankings, traffic levels or positions in search results.

Ongoing SEO services, content creation, backlink development or continuing search optimisation are not included unless separately agreed.

Analytics and website services

Where included in the website setup, we’ll configure the analytics, maps, anti-spam protection and other services required for the agreed website functionality.

We’ll configure these services as part of the website build and ensure they are working correctly at launch.

If you use our hosting and maintenance service, we’ll continue to maintain the website configuration for these services as part of the ongoing maintenance of your site.

Privacy and cookie consent

We provide and configure a cookie consent system as part of the website setup.

Where analytics, marketing or other services require consent before loading, we’ll configure the consent system accordingly.

You remain responsible for ensuring that the information contained within your privacy policy, cookie policy, terms and other legal notices accurately reflects your business and the way you use personal data.

You are also responsible for ensuring that your business and website comply with the laws and regulations that apply to you, including requirements relating to privacy, data protection, property advertising and the information you publish.

Our technical configuration of privacy and cookie tools does not constitute legal advice.

Launch and handover

The website will remain on our development or staging environment until the agreed balance has been paid in full.

Once full payment has cleared and the website has been approved:

  • if you are using our hosting and maintenance service, we’ll launch the website on your agreed domain; or

  • if you are hosting the website elsewhere, we’ll provide the website files and database required for you or your chosen provider to complete the transfer and launch.

The completed website is supplied so that it can continue to operate without requiring you to pay EurMarketing Ltd additional theme, plugin or software licence fees if you choose to host with another provider.

Technical support after launch

Unless you purchase our hosting and maintenance service, responsibility for ongoing website hosting, software updates, security, backups and maintenance passes to you or your chosen hosting provider following handover.

Any support or development requested after completion that is not included in an ongoing service may be quoted separately.

Intellectual Property

Your materials

You retain ownership of the intellectual property rights in the branding, text, photographs, property information, data and other materials you supply to us.

The completed website

Once the project has been paid for in full, the completed website is yours to operate for your business.

You may host it with us or move it to another hosting provider.

You may make changes to your website yourself or appoint another provider to maintain or modify it after handover, subject to any third-party or open-source software licences that apply.

EurAgency intellectual property

EurMarketing Ltd retains ownership of intellectual property that:

  • existed before your project;

  • was developed independently of your project;

  • forms part of the reusable EurAgency website framework or development system; or

  • has been developed for use across more than one EurAgency project.

This may include reusable code, custom functionality, plugins, integrations, code libraries, development methods, templates, systems, automation, tools and other reusable technical components.

Payment for a website project does not constitute the purchase or transfer of the EurAgency platform, development framework or reusable technology.

You are granted a continuing right to use the EurAgency components incorporated into your completed website for the operation of that website.

One website licence

The EurAgency-specific design, configuration and reusable components incorporated into your website are supplied for use as one completed website for your business.

You may move that website between hosting providers and, if necessary, move it to a replacement domain.

The completed website may not, however, be cloned, duplicated or used as a template to create additional websites, domains, businesses or brands without our prior agreement.

This restriction does not override any rights that you may independently have under an applicable open-source or third-party software licence.

If you wish to use the completed design or EurAgency configuration as the basis for an additional website, please speak to us and we can agree an appropriate arrangement.

Third-party and open-source software

WordPress, Voxel and other third-party themes, plugins, libraries and software remain the property of their respective copyright owners and are subject to their own licence terms.

Some software used within your website may be released under open-source licences such as the GNU General Public License (GPL).

Nothing in these terms removes or restricts rights expressly granted to you under those licences.

Our work and portfolio

We may display the website and appropriate screenshots or descriptions of the project in our portfolio, website, social media and marketing materials unless we have agreed otherwise with you.

We will not publish confidential information provided to us as part of the project.

Payment

Unless otherwise agreed in writing, our website development payment schedule is:

Stage 1: 25% deposit before work begins.

Stage 2: 75% balance upon completion and before final launch or handover.

Invoices are issued electronically and are payable within 7 days unless otherwise stated.

Payment may be made using the payment methods shown on the invoice.

Invoices may be issued in EUR or GBP as agreed.

Ownership and usage rights described as taking effect following payment do not take effect until all invoices relating to the website project have been paid in full.

Cancellation during development

If you decide to cancel the project after work has begun, you will be responsible for payment for work completed up to the point of cancellation.

Any amount due will take account of the work already completed and payments already received.

If we are unable to complete the agreed work, we will discuss an appropriate resolution with you.

Liability

We’ll perform our services with reasonable care and skill and in accordance with normal professional standards.

Websites and online services depend on software, servers, networks and external services, so we cannot promise that a website will always operate without interruption or that software will never contain an error.

We will not be responsible for problems caused by changes made by you or another third party, services outside our control, incorrect information supplied to us, or failures of external software or services that we could not have prevented.

Neither party will be responsible to the other for indirect or consequential business losses that were not reasonably foreseeable when the agreement was entered into.

Our total liability relating to a website development project will not exceed the amount paid to us for that project, except where liability cannot legally be limited or excluded.

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence.

General terms

Neither party may transfer this agreement to somebody else without the other party’s permission, except as part of a genuine sale or transfer of the relevant business where the other party is informed.

Both parties agree to comply with laws and regulations relevant to their responsibilities under this agreement.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

These terms, together with the agreed proposal, quotation, invoice and any written amendments, form the agreement between us for the project.

These terms are governed by the laws of England and Wales and the courts of England and Wales will have jurisdiction.

Any additional services specifically agreed with you will be confirmed separately.

Värdskap

Your website will be hosted on infrastructure selected and managed by us.

We actively manage and monitor the hosting environment to maintain a high standard of security, availability and performance.

While no hosting service can guarantee 100% uninterrupted availability or protection against every possible hardware failure, software vulnerability, internet outage or malicious attack, if an issue occurs we’ll act promptly to investigate and restore normal service.

SSL

We’ll maintain an SSL certificate for the website while it remains hosted under an active EurAgency hosting service, provided the domain and DNS configuration allow us to do so.

Security

We use security controls, monitoring and protective measures designed to reduce the risk of malware, hacking and unauthorised access.

It is not possible for any hosting provider to guarantee that a website can never be compromised.

Where a security incident affects a website we host and maintain, we’ll investigate it promptly, take appropriate action to secure the website, remove any malicious content or compromise, and restore the website to normal operation as quickly as possible.

Backups

We maintain regular automated backups of your website, including both website files and the database.

Backups are stored separately from the live website so that they can be used to restore the site in the event of data loss, corruption, security issues or other technical problems.

Where restoration is required, we’ll restore the most appropriate available backup and work to return the website to normal operation as quickly as possible.

Software maintenance

WordPress websites depend on themes, plugins and other software which are updated over time.

We’ll monitor and apply appropriate updates as part of our managed maintenance service.

If software becomes obsolete, unsupported, insecure or incompatible, we may replace it with a suitable alternative where necessary to maintain the security and functionality of the website.

E-post

Domain-based email accounts can be provided as part of your EurAgency hosting and maintenance service at no additional charge.

If you prefer to use an existing external email provider, your existing email arrangements can remain in place.

We’ll configure and maintain the website SMTP settings required for website notifications and form submissions.

Where you use an external email provider, you’ll need to provide any access or SMTP details required for the configuration.

We are not responsible for outages, changes, restrictions or delivery issues caused by an external email provider.

Minor content updates

We can make reasonable minor amendments to existing website content as part of the hosting and maintenance service.

This includes changes such as updating text, replacing images, adjusting contact information or making similar small changes.

New pages, major redesigns, substantial content replacement, new functionality, integrations or development work are not considered minor maintenance and may be quoted separately.

Maintenance access

While we are responsible for maintaining the website, please tell us before allowing another developer or technical provider to make changes to the website, server configuration, plugins, theme or code.

We cannot be responsible for faults created by third-party changes.

Where additional work is required to investigate or repair problems caused by changes made by somebody outside EurAgency, that work may be chargeable.

Support requests

We aim to acknowledge normal maintenance requests within one business day.

Urgent website outages or serious technical problems will be prioritised.

Additional work

Development, redesign, new functionality, significant content work or other services outside the hosting and maintenance package will be quoted separately.

Client responsibilities

You remain responsible for:

  • the legality and accuracy of content you publish;

  • keeping any account credentials you control secure;

  • notifying us promptly if you become aware of a security or website problem;

  • keeping your domain name registered and renewed

  • any optional external services that you have independently chosen to purchase or maintain.

Payment

Hosting and maintenance is charged either monthly or annually in advance, according to the service selected.

Invoices are issued electronically and are payable within 7 days unless otherwise stated.

If an invoice remains unpaid, we may suspend hosting or maintenance services after giving notice.

Cancellation and moving your website

Either party may cancel the hosting and maintenance service by giving one month’s written notice.

You may move your website to another hosting provider following that notice period.

Any website development invoices and hosting charges already due must be paid before final transfer or handover.

At your request, we’ll provide a backup of the website files and database required to move the completed website to another provider.

Your completed website will continue to be yours to operate after leaving our hosting service and you will not be required to pay additional theme, plugin or software licence fees in order to continue using it.

You will be responsible for arranging the new hosting environment and for the ongoing security, säkerhetskopior, updates and maintenance of the website once it has left our service.

We may suspend or terminate a service immediately where continued hosting would be unlawful, creates a serious security risk or involves abuse of our systems.

Liability

We’ll provide hosting and maintenance services professionally and maintain the systems and processes required to support the security, availability and performance of the websites we host.

No internet-based service can guarantee uninterrupted access or complete protection against every possible security incident.

Neither party will be responsible to the other for indirect or consequential business losses that were not reasonably foreseeable.

Our total liability relating to the hosting and maintenance service will not exceed the amount paid to us for that service during the preceding 12 months, except where liability cannot legally be limited or excluded.

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence.

General terms

Both parties agree to comply with all relevant laws and regulations relating to their responsibilities under this agreement.

If one provision is found to be invalid or unenforceable, the remaining provisions will continue to apply.

These hosting terms, together with the relevant proposal, package description, invoice and any written amendments, form the agreement between us.

These terms are governed by the laws of England and Wales and the courts of England and Wales will have jurisdiction.
